WORK FOR HIRE AGREEMENT
THIS AGREEMENT is made on [Date],
BETWEEN:
[Client Name], of [Client Address] ("Client")
AND
[Contractor Name], of [Contractor Address] ("Contractor").
WHEREAS:
- The Client wishes to engage the Contractor to perform certain work as described in this Agreement;
- The Contractor agrees to perform such work for the Client under the terms set forth below;
- The parties intend that all work and deliverables created by the Contractor under this Agreement shall be considered "work for hire" and owned by the Client.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
1. DEFINITIONS
1.1 "Work" means all work product, deliverables, materials, inventions, designs, documents, software, or other items created or developed by the Contractor for the Client under this Agreement, as described in Section 2.
2. SCOPE OF WORK
2.1 The Contractor agrees to perform the following services and deliver the following Work:

2.2 The Work shall be completed and delivered to the Client by [Completion Date], unless otherwise agreed in writing.
3. COMPENSATION
3.1 As full compensation for the Work, the Client shall pay the Contractor:

4. WORK FOR HIRE AND OWNERSHIP
4.1 The parties agree that all Work created under this Agreement shall be considered "work for hire" as defined by applicable copyright law, and all right, title, and interest in and to the Work shall vest exclusively in the Client.
4.2 To the extent any Work is not deemed a "work for hire," the Contractor hereby irrevocably assigns to the Client all right, title, and interest in and to the Work, including all copyrights and other intellectual property rights.
4.3 The Contractor agrees to execute any documents and take any actions reasonably requested by the Client to perfect, register, or enforce the Client's rights in the Work.
5. CONFIDENTIALITY
5.1 The Contractor shall keep confidential all information and materials provided by the Client or created in connection with the Work, and shall not disclose such information to any third party without the Client’s prior written consent.
5.2 This obligation shall survive the termination of this Agreement.
6. WARRANTIES AND REPRESENTATIONS
6.1 The Contractor represents and warrants that:
- The Work will be original and not infringe upon the rights of any third party;
- The Contractor has full right and authority to enter into this Agreement and assign the rights set forth herein;
- The Work will be completed in a professional and workmanlike manner.
7. INDEPENDENT CONTRACTOR
7.1 The Contractor is an independent contractor and not an employee, partner, or agent of the Client.
7.2 Nothing in this Agreement shall be construed to create an employer-employee relationship or a partnership between the parties.
8. TERM AND TERMINATION
8.1 This Agreement shall commence on [Effective Date] and continue until the Work is completed, unless terminated earlier as provided herein.
8.2 Either party may terminate this Agreement upon [Notice Period Days] days’ written notice to the other party.
8.3 Upon termination, the Contractor shall deliver to the Client all Work completed up to the date of termination, and the Client shall pay the Contractor for all Work satisfactorily performed to that date.
9. GOVERNING LAW
9.1 This Agreement shall be governed by and construed in accordance with the laws of [Governing Law State/Country].
10. GENERAL PROVISIONS
10.1 Amendments. Any amendments to this Agreement must be in writing and signed by both parties.
10.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior agreements or understandings.
10.3 Notices. All notices under this Agreement shall be in writing and delivered to the addresses set forth above.
10.4 Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
