PRODUCT WARRANTY AGREEMENT
THIS AGREEMENT is made on [Date], BETWEEN:
[Company Name], a company organized and existing under the laws of [State/Country], with its principal place of business at [Company Address] (“Seller”),
AND
[Customer Name], residing at [Customer Address] (“Customer”).
WHEREAS
- Seller is engaged in the business of manufacturing and/or selling [Product Description];
- Customer has purchased certain products from Seller;
- Seller wishes to provide a warranty for the products as described herein.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:
1. Definitions
1.1 “Product(s)” means the following item(s) sold by Seller to Customer: [List of Products, Model Numbers, Serial Numbers, etc.].
1.2 “Warranty Period” means the period commencing on the date of purchase and continuing for [Warranty Period, e.g., 12 months] thereafter.
2. Warranty Coverage
2.1 Seller warrants that the Product(s) will be free from defects in material and workmanship under normal use during the Warranty Period.
2.2 This warranty is valid only for the original purchaser and is not transferable.
3. Warranty Exclusions
3.1 This warranty does NOT cover:
- Damage caused by misuse, abuse, accident, neglect, improper installation or maintenance;
- Normal wear and tear, cosmetic damage, or consumable parts (such as batteries, unless otherwise specified);
- Damage caused by unauthorized repair, modification, or alteration;
- Use of the Product(s) outside the intended purpose or contrary to instructions provided by Seller;
- Damage resulting from acts of God, fire, flood, or other external causes.
4. Warranty Claims and Remedies
4.1 To make a warranty claim, Customer must notify Seller in writing at [Warranty Claim Address/Email] within [Number of Days, e.g., 30 days] of discovering the defect.
4.2 Customer must provide proof of purchase and a description of the defect.
4.3 Upon verification of a valid claim, Seller will, at its option:
- Repair the Product(s) at no charge;
- Replace the Product(s) with a new or refurbished product of equal or greater value;
- Refund the purchase price of the Product(s).
4.4 Any repaired or replaced Product(s) will be warranted for the remainder of the original Warranty Period or [Number of Months] months from the date of repair/replacement, whichever is longer.
5. Limitation of Liability
5.1 To the maximum extent permitted by law, Seller’s liability under this warranty is limited to the remedies set forth above.
5.2 Seller shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of the Product(s).
6. Governing Law
6.1 This Agreement shall be governed by and construed in accordance with the laws of [Governing Law State/Country].
7. Notices
7.1 All notices under this Agreement must be given in writing and delivered to the addresses specified above or to such other address as either party may designate in writing.
8. Entire Agreement
8.1 This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements or understandings, whether written or oral.
8.2 Any amendments to this Agreement must be in writing and signed by both parties.
9. Severability
9.1 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
