FREELANCE SERVICES AGREEMENT
THIS AGREEMENT is made on [Date],
BETWEEN:
[Client Name], of [Client Address] (“Client”)
AND
[Freelancer Name], of [Freelancer Address] (“Freelancer”).
BACKGROUND
WHEREAS, the Client wishes to engage the Freelancer to provide certain services as described in this Agreement, and the Freelancer agrees to provide such services under the terms set forth below.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
1. SCOPE OF SERVICES
1.1 The Freelancer agrees to perform the following services (“Services”):

1.2 Any additional services not listed above must be agreed upon in writing by both parties.
2. TERM AND TERMINATION

2.2 Either party may terminate this Agreement immediately for cause if the other party breaches any material term of this Agreement.

3. PAYMENT TERMS
3.1 The Client agrees to pay the Freelancer as follows:

3.2 Payment shall be made within [Number of Days] days of receipt of an invoice from the Freelancer.

5. CONFIDENTIALITY
5.1 The Freelancer agrees not to disclose or use any confidential information received from the Client except as necessary to perform the Services.
5.2 This obligation shall survive the termination of this Agreement.
6. INTELLECTUAL PROPERTY
6.1 Unless otherwise agreed in writing, all work product and deliverables created by the Freelancer in connection with the Services (“Deliverables”) shall be the property of [Select: Client/Freelancer].

7. WARRANTIES AND REPRESENTATIONS

8. LIMITATION OF LIABILITY
8.1 Except for liability arising from gross negligence or willful misconduct, neither party shall be liable for indirect, incidental, or consequential damages.
8.2 The Freelancer’s total liability under this Agreement shall not exceed the total amount paid by the Client for the Services.
9. GOVERNING LAW
9.1 This Agreement shall be governed by and construed in accordance with the laws of [Governing Law State/Country].
10. ENTIRE AGREEMENT
10.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, representations, or understandings, whether written or oral.
