SPEAKER AGREEMENT
THIS AGREEMENT is made on [Date],
BETWEEN:
[Organizer Name], with its principal address at [Organizer Address] ("Organizer"),
AND
[Speaker Name], residing at [Speaker Address] ("Speaker").
WHEREAS
- The Organizer is hosting [Event Name] ("Event") on [Event Date] at [Event Location];
- The Organizer wishes to engage the Speaker to present at the Event, and the Speaker agrees to do so under the terms set forth in this Agreement.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
1. ENGAGEMENT
1.1 The Organizer engages the Speaker to deliver a presentation titled "[Presentation Title]" ("Presentation") at the Event.
1.2 The Presentation is scheduled for [Presentation Date and Time].
1.3 The expected duration of the Presentation is [Presentation Duration] minutes.
2. SPEAKER OBLIGATIONS
2.1 The Speaker agrees to:
- Prepare and deliver the Presentation in a professional manner.
- Provide all required materials (e.g., slides, handouts) to the Organizer by [Materials Due Date].
- Arrive at the Event location at least [Arrival Time Before Presentation] prior to the scheduled time.
- Notify the Organizer promptly of any circumstances that may prevent attendance.
3. ORGANIZER OBLIGATIONS
3.1 The Organizer agrees to:
- Provide the necessary facilities, equipment, and technical support for the Presentation.
- Promote the Speaker as part of Event marketing, subject to Speaker’s approval of biographical information and image.
- Provide access to the Event location for the Speaker.
4. COMPENSATION AND EXPENSES
4.1 The Organizer shall pay the Speaker a fee of [Speaker Fee Amount] for participation in the Event.
4.2 Payment shall be made by [Payment Method] within [Number of Days] days after the Event.
4.3 The Organizer will reimburse the Speaker for pre-approved expenses, including:

4.4 The Speaker must submit receipts for all reimbursable expenses within [Expense Submission Period] days of the Event.

5.2 The Speaker grants the Organizer a non-exclusive, royalty-free license to record, reproduce, and distribute the Presentation for [specify purposes, e.g., internal use, marketing, or as agreed].
5.3 The Organizer shall credit the Speaker as the author of the Presentation.
6. CANCELLATION
6.1 Either party may cancel this Agreement by providing written notice at least [Notice Period Days] days before the Event.
6.2 If the Organizer cancels without sufficient notice, the Speaker is entitled to [full fee/percentage] compensation.
6.3 If the Speaker cancels without sufficient notice, the Organizer may require repayment of any advance payments and may seek a replacement Speaker.
7. CONFIDENTIALITY
7.1 Both parties agree to keep confidential any information designated as confidential and not to disclose it to third parties without prior written consent, except as required by law.
8. WARRANTIES AND REPRESENTATIONS
8.1 The Speaker warrants that the Presentation and materials:
- Are original or the Speaker has the right to use them.
- Do not infringe upon any copyright, trademark, or other third-party rights.
- Do not contain defamatory or unlawful content.
9. INDEMNIFICATION
9.1 Each party agrees to indemnify and hold harmless the other from any claims, losses, or damages arising from breach of this Agreement or violation of law.
10. TERM AND TERMINATION
10.1 This Agreement is effective as of the date above and continues until completion of the Event, unless terminated earlier in accordance with Section 6.
11. GOVERNING LAW
11.1 This Agreement shall be governed by and construed in accordance with the laws of [Governing Law State/Country].
12. ENTIRE AGREEMENT
12.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral, relating to its subject matter.
12.2 Any amendments must be in writing and signed by both parties.

14. SEVERABILITY
