FREELANCE WRITER AGREEMENT
THIS AGREEMENT is made on [Date], BETWEEN:
[Client Name], of [Client Address] (“Client”)
AND
[Freelance Writer Name], of [Freelance Writer Address] (“Writer”)
WHEREAS
- The Client wishes to engage the Writer to provide certain writing services;
- The Writer agrees to provide such services under the terms and conditions set forth in this Agreement.
NOW, THEREFORE, the parties agree as follows:
1. ENGAGEMENT AND SCOPE OF WORK
1.1 The Client hereby engages the Writer to provide the following writing services: [Describe Scope of Work, e.g., blog articles, website content, white papers, etc.] (“Services”).
1.2 The specific details, including topics, word count, deadlines, and any required research or interviews, will be outlined in [Schedule A/Attachment] or as mutually agreed in writing.
2. DELIVERABLES AND DEADLINES
2.1 The Writer shall deliver the completed work to the Client by the following deadlines: [Insert Deadlines or Reference Attachment].
2.2 All work must meet the specifications provided by the Client and be submitted in [Format, e.g., Word document, Google Doc, etc.].
3. PAYMENT TERMS

5.3 The Writer may retain copies of the Work Product for portfolio purposes only with the Client’s prior written consent.
6. CONFIDENTIALITY
6.1 The Writer agrees to keep confidential all information and materials provided by the Client and not to disclose such information to any third party without the Client’s prior written consent.
7. INDEPENDENT CONTRACTOR STATUS
7.1 The Writer is engaged as an independent contractor. Nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture.
7.2 The Writer is responsible for all taxes, insurance, and statutory obligations arising from the payments made under this Agreement.
8. TERM AND TERMINATION
8.1 This Agreement shall commence on [Effective Date] and continue until completion of the Services or until terminated by either party.
8.2 Either party may terminate this Agreement by providing [Notice Period Days] days’ written notice to the other party.
8.3 Upon termination, the Client shall pay the Writer for all work completed up to the date of termination.

10. LIMITATION OF LIABILITY
10.1 Except for liability arising from breach of confidentiality or infringement of intellectual property, neither party shall be liable for any indirect, incidental, or consequential damages arising from this Agreement.
11. GOVERNING LAW
11.1 This Agreement shall be governed by and construed in accordance with the laws of [Governing Law State/Country].
12. ENTIRE AGREEMENT
12.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements or understandings, whether written or oral.
